BIC TIP #1241: Keep It

Watch Stephen Long explain the three-year record retention requirement and the documents agents forget to keep.

Here is a short tip with a long shelf life. Under North Carolina Real Estate Commission rules and guidelines, brokers must retain transaction documents for three years from the last date on that transaction. And according to Stephen Long, the documents agents most often forget are the ones from deals that never happened.

It Is Not Just the Closed Deals

Most agents remember to keep the offer, the contract, and the closing paperwork on a successful sale. That is the easy part. The requirement, however, covers your transaction records broadly, from the Offer to Purchase and Contract to your Working with Real Estate Agents disclosure and beyond.

The clock runs three years from the last action on the file, not from the day you first met the client.

The Open House Trap

Stephen’s most common example is a simple one. You meet someone at an open house, review the Working with Real Estate Agents disclosure, and they sign it. Then they disappear and you never hear from them again.

That signed form still needs to be retained for three years. It does not matter that there was no offer, no contract, and no commission. If it was signed, it gets stored.

Failed Contracts Count Too

The same goes for contracts that fall apart. A terminated Offer to Purchase, a rejected counteroffer, an agreement that never made it to closing: these are still records that need to be kept for the minimum retention period.

It is tempting to toss a dead deal and move on. Resist the urge. If a dispute or a Commission inquiry ever comes up, those documents may be exactly what protects you.

Build a System, Not a Junk Drawer

The best way to stay compliant is to have a dependable system. Whether your firm uses a transaction management platform or a structured digital folder setup, every document should have a home. Ask your broker-in-charge how your firm handles storage and make sure your process matches.

The Practical Takeaway

Keep it. All of it. Store every transaction document, including stand-alone Working with Real Estate Agents forms and failed contracts, for at least three years from the last action on the file. A good system today saves a world of trouble tomorrow.
